TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and The Makeup Distro LLC ("The Makeup Distro™," "we," "us," or "our"), governing your access to and use of our website located at www.themakeupdistro.com (the "Site") and all associated services, features, content, and products offered therein (collectively, the "Services").

These Terms incorporate by reference our Privacy Policy and any additional policies posted on our Site, all of which form part of this agreement.

You must meet all of the following criteria to use our Services:

• You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
• You have the legal capacity to enter into a binding contract.
• You are not prohibited from using our Services under applicable law.
• You are accessing the Site from within the United States.

By creating an account or placing an order, you represent and warrant that all information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account

The Makeup Distro™ offers curated global beauty products, with a focus on African, Nigerian, and international cosmetics brands. We make commercially reasonable efforts to display and describe products accurately; however:

• Product colors and appearances may vary depending on your device display settings and calibration.
• Manufacturer packaging, formulations, and labeling are subject to change without notice.
• Product availability is not guaranteed and may change at any time.
• We reserve the right to limit quantities, discontinue products, or modify product descriptions without prior notice.

We do not warrant that product descriptions or other content on the Site are error-free, complete, or current. If a product offered by us is not as described, your sole remedy is to return it in unused condition in accordance with our Return Policy, where applicable.

Placing an order constitutes an offer to purchase the selected products at the stated price. No contract is formed until we confirm acceptance of your order and process payment successfully.

We reserve the right, in our sole discretion, to:

• Refuse, cancel, or limit any order for any reason, including suspected fraud, pricing errors, or supply limitations.
• Limit quantities per customer, household, or order.
• Require verification before processing high-value or flagged transactions.

IMPORTANT: Once an order is placed and payment is processed, it cannot be canceled, modified, or rerouted. Please review your cart, shipping address, and payment information carefully before completing checkout.

5.1  All Sales Are Final

Due to hygiene, safety, and quality control standards applicable to cosmetics and personal care products, ALL SALES ARE FINAL. We do not accept returns, exchanges, or issue refunds except as expressly set forth below.

5.2  Limited Exception — Defective or Incorrect Items

We will review claims only in the following circumstances:

• You received a product materially different from what you ordered; or
• Your product arrived damaged or defective due to causes within our reasonable control.

To initiate a claim, you must:

• Contact us at themakeupdistro@gmail.com within 48 hours of confirmed delivery.
• Provide your order number, a clear description of the issue, and unedited photo or video documentation.
• Retain all original packaging and materials pending resolution.

If a claim is approved, we may, at our sole discretion, issue a replacement of the same item or store credit of equivalent value. Cash refunds are not available.

5.3  Non-Eligible Claims

The following are expressly excluded from our claims process:

• Dissatisfaction with shade, finish, or color match.
• Change of mind or accidental purchase.
• Incorrect product selection by the customer.
• Damage resulting from improper use, storage, or application.
• Minor cosmetic packaging variations.
• Damage attributable to weather, temperature, or transit conditions (see Section 7).

All prices are displayed in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes, duties, or shipping fees unless expressly stated at checkout.

By completing a purchase, you:

• Authorize us to charge the payment method provided for the full order total including taxes and shipping.
• Represent that you are authorized to use the payment method presented.
• Agree to provide updated payment information if necessary to complete the transaction.

In the event of a pricing error or typographical mistake, we reserve the right to cancel the affected order and notify you promptly. You will not be charged for canceled orders due to pricing errors, and any payment collected will be fully refunded.

We use industry-standard encryption and third-party payment processors to handle payment data. We do not store full payment card information on our servers.

7.1  Processing Times

Orders are typically processed within 7 business days, excluding weekends and federal holidays. Processing times may be extended during high-volume periods, promotional events, or circumstances beyond our control.

7.2  Shipping & Delivery

Estimated delivery windows are provided for informational purposes only and are not guaranteed. We are not responsible for delays caused by:

• Shipping carrier operations, failures, or errors.
• Customs clearance, import holds, or regulatory inspections.
• Natural disasters, severe weather, or force majeure events.
• Incorrect or incomplete shipping addresses provided by the customer.

7.3  Risk of Loss & Title Transfer

Title to and risk of loss of all products passes to you upon our tender of delivery to the carrier. Once a shipment is handed off to the carrier and a tracking number is issued, The Makeup Distro™ is not responsible for:

• Lost, delayed, or undeliverable packages.
• Stolen packages or porch theft ("porch piracy").
• Packages delivered to an incorrect address due to customer error.

Customers are responsible for ensuring accurate delivery information, monitoring tracking updates, and securing deliveries upon arrival. For lost or stolen packages, we recommend filing a claim directly with the shipping carrier.

7.4  Temperature & Weather Disclaimer

Many beauty products, including lipsticks, cream products, waxes, and certain skincare formulations, are sensitive to temperature fluctuations. The Makeup Distro™ is not responsible for changes in product texture, consistency, or integrity resulting from:

• Exposure to heat, cold, humidity, or condensation during transit.
• Extended time in shipping vehicles, warehouses, or mailboxes subject to weather conditions.

Such changes are not considered product defects and are not eligible for refund, replacement, or store credit. By placing an order, you acknowledge and accept this risk, particularly during extreme weather seasons.

The Makeup Distro™ guarantees that all products sold through our Site are 100% authentic and sourced exclusively from verified and authorized suppliers. We do not knowingly sell counterfeit, expired, tampered, or gray-market goods.

If you have concerns regarding product authenticity, please contact us at themakeupdistro@gmail.com with supporting documentation. We take all authenticity claims seriously and will investigate promptly.

Our Pro Makeup Artist Program ("Pro Program") offers approved professional discounts to licensed or working makeup artists, cosmetologists, and beauty professionals. Participation in the Pro Program is subject to the following:

• Applicants must submit a valid application demonstrating professional status.
• Approval is at our sole discretion and is not guaranteed.
• Pro discounts are non-transferable and may not be combined with other promotions unless expressly stated.
• Sharing Pro Program credentials, discount codes, or account access is strictly prohibited.
• We reserve the right to revoke Pro Program access, recover unauthorized discounts, and terminate accounts found to be abusing the program.

10.  INTELLECTUAL PROPERTY

All content on the Site, including but not limited to the The Makeup Distro™ name and logo, "Your Plug for Premiere Beauty™" tagline, product photography, graphics, written descriptions, user interface design, and software, is the proprietary property of The Makeup Distro™ and is protected by applicable U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for personal, non-commercial purposes. You may not:

• Copy, reproduce, modify, distribute, or create derivative works of any Site content without prior written consent.
• Use our trademarks, logos, or brand assets in connection with any third-party products or services.
• Scrape, crawl, or systematically extract data from the Site using automated tools.
• Frame or mirror any portion of the Site without written authorization.

11.  PROHIBITED CONDUCT

You agree not to engage in any of the following activities:

• Using the Site for any unlawful purpose or in violation of any applicable regulation.
• Submitting false, misleading, or fraudulent information during checkout, returns, or account creation.
• Abusing promotions, discount codes, or referral programs in bad faith.
• Attempting to gain unauthorized access to our systems, accounts, or infrastructure.
• Transmitting malware, viruses, or harmful code through the Site.
• Harassing, threatening, or engaging in abusive conduct toward our staff or customers.

12.  DISCLAIMER OF WARRANTIES

THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE MAKEUP DISTRO™ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• WARRANTIES THAT PRODUCTS WILL ACHIEVE ANY PARTICULAR RESULT OR BE COMPATIBLE WITH ANY INDIVIDUAL’S SKIN TYPE OR CONDITION.

ALWAYS PERFORM A PATCH TEST ON A SMALL AREA OF SKIN BEFORE USING ANY NEW COSMETIC OR SKINCARE PRODUCT. DISCONTINUE USE IMMEDIATELY IF IRRITATION, ALLERGIC REACTION, OR ADVERSE EFFECTS OCCUR.

13.  LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MAKEUP DISTRO™ AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS.
• ALLERGIC REACTIONS, SKIN IRRITATION, OR PERSONAL INJURY RESULTING FROM PRODUCT USE OR MISUSE.
• ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA.
• ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF RELIANCE ON CONTENT POSTED ON THE SITE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM USE OF THE SITE OR PURCHASE OF PRODUCTS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE 90 DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

14.  INDEMNIFICATION

You agree to defend, indemnify, and hold harmless The Makeup Distro™ and its owners, officers, employees, agents, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your access to or use of the Site or Services.
• Your purchase, use, or misuse of any products.
• Your violation of these Terms or any applicable law.
• Any content or information you submit to the Site.
• Your violation of any third-party rights.

15.  DISPUTE RESOLUTION & GOVERNING LAW

15.1  Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

15.2  Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at themakeupdistro@gmail.com and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within 30 days of receipt.

15.3  Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are incorporated by reference. The arbitration shall be conducted in San Antonio, Texas, or remotely at your election.

YOU AND THE MAKEUP DISTRO™ EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION OR CLASS-WIDE ARBITRATION.

15.4  Exceptions

Notwithstanding the above, either party may pursue injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm, without waiving the right to arbitration for all other disputes.

15.5  Venue

For any matters not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in Bexar County, Texas.

16.  PRIVACY

Your privacy is important to us. Our Privacy Policy, available at www.themakeupdistro.com/privacy-policy, describes how we collect, use, store, and protect your personal information. By using the Site, you consent to our data practices as described in the Privacy Policy.

17.  THIRD-PARTY LINKS & SERVICES

The Site may contain links to third-party websites, services, or applications. These links are provided for convenience only. The Makeup Distro™ does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party sites. Your use of third-party sites is at your own risk and subject to their applicable terms.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

20.  ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and The Makeup Distro™ with respect to the subject matter herein and supersede all prior or contemporaneous agreements, representations, and understandings, whether oral or written.
